1. Terms
1.1 The Service Provider:
The service provide shall hereinafter refer to We Film Blackpool C.I.C as defined in
section 1.2 of this document.

1.3 The Client:
The client shall hereinafter refer to the named party(s) under section 2.3 of any related
Service Agreement(s).
1.4 The Parties:
The parties shall hereinafter refer to the named parties of sections, 1.1 and 1.3 of these terms
1.5 Terms of Service:
This document which lays out the standard terms and descriptions of service.
1.6 Service Agreement:
A document, agreed upon by all involved parties, We Film Blackpool, and The Client
specifying the deliverables and any term(s) differing from this document. If not addressed in the Service Agreement the terms of the Terms of Service apply.
1.7 This Agreement:
Hereinafter this Agreement refers to the combination of both the Terms of Service and the
Service Agreement signed by The Client in which any provision(s) agreed upon within the
Service Agreement take precedence.
1.8 Deliverables:
Finished media content, after editing and grading and other services (where applicable) as
as detailed in the Service Agreement.
1.9 Original Files:
Source files, edit files, and any other materials created or used in production, including
but not limited to, project files, raw footage, and working documents.
1.10 UK GDPR:
Within this Agreement the term UK GDPR shall hereinafter refer to the UK General Data
Protection Regulation (UK GDPR) as published by the UK Government.
2. Services
2.1 Revisions to editing:
We Film Blackpool C.I.C offers three (3) revisions of an edited video where the Client
request changes within the final edit. In situations where the required changes are
exclusively the result of a mistake by We Film Blackpool C.I.C (including but not limited
to; spelling errors, clear editing mistakes, severe deviation from agreed plan, or incorrect
format) the changes to correct such mistakes will not count towards the number of revisions
used.
2.2 Delivery Schedule:
We Film Blackpool C.I.C endeavours to deliver all services to the client in accordance with
the detailed dates and times within the Service Agreement. We Film Blackpool C.I.C will
inform of any situations they are aware of that may cause the delivery schedule not to be
met. The Client must likewise inform We Film Blackpool C.I.C of any situations they are
aware of which may cause the delivery schedule not to be met.
We Film Blackpool C.I.C will not be liable for delays in the delivery schedule that are out
of their control.
3. Compensation
3.1 Payment:
Details of fees and payments will be set out in the Service Agreement.

3.2 Payment Schedule:
Payments are to be made on a schedule of 50% payable upfront and 50% payable on final
approval and transfer of the deliverables. Payments are to be made within thirty (30) days of
the service(s) being delivered.
3.3 Payment of Additional Services:
Should the Client request a change to the Service Agreement any additional costs are to be
agreed by both parties at the time of amendment, a quote and invoice for the additional
service(s) is to be generated and separately invoiced if not included in the main invoice.
Payment of additional services that are invoiced separately are payable upfront in their
entirety.
3.4 Cancellation / Rescheduling Fees:
A cancellation fee equivalent to 15% of the total invoiced amounts will be applicable to all
cancellations and/or terminations of this Agreement by or arising from the actions of the
Client this rate will rise to 100% for cancellations and/or terminations occurring within
24hours of the planned shoot date. If a shoot is rescheduled or postponed We Film
Blackpool C.I.C may charge additional fees to cover any incurred expenses as a result of t
the rescheduling.
4. Ownership and Licensing
4.1 Licence Generation:
Upon full payment of all fees and expenses due the Client shall receive a licence for the use
of the deliverables associated with the project and created by We Film Blackpool C.I.C
The standard licence is detailed in 4.2 below, subject to any third-party rights or licenses.
4.2 Standard Licence (Deliverables):
Unless otherwise stated in the Service Agreement, We Film Blackpool C.I.C grants the
client a non-transferable, non-exclusive, worldwide, royalty-free licence to use the
deliverables for the purpose(s) of:
a. Distribution via web and online social platforms and services for the purpose of
promoting; the Client, their product(s), service(s), event(s), or organisation,
excluding distribution via paid streaming services, including but not limited to
Netflix, Amazon Prime, and Disney Plus.
b. Distribution via digital and traditional broadcast means for the purpose of
reporting news and current events.
4.3 Ownership of Original Files:
Unless otherwise stated in the Service Agreement, We Film Blackpool C.I.C retains all
rights, title, and interest in the original source files, project files, and any other materials
created or used within the project subject to any third party rights or licences.
5. Indemnification
5.1 Client’s Indemnification:
The Client agrees to indemnify and hold harmless We Film Blackpool C.I.C from and
against any claims, damages, liabilities, costs, and expenses arising out of and / or related to
the use of the deliverables.
6. Confidentiality
6.1 Sensitive Information:
We Film Blackpool C.I.C and The Client agree to keep confidential any propriety or
sensitive information disclosed in relation to the provision of any services.
6.2 Third Parties:
Where We Film Blackpool C.I.C contracts in third parties to generate, collect, process, or
handle any client information those third parties will handle such information in
confidentiality and operate in accordance with the We Film Blackpool C.I.C data protection
policy.
7. Data Protection
7.1 Data Processing Responsibility:
We Film Blackpool C.I.C will abide by all requirements under UK GDPR and any other
applicable data protection laws.
7.2 Data Control and Processing:
Where We Film Blackpool C.I.C handles data provided to them by the Client or any other
third party they will act as a data controller in accordance with UK GDPR and will take all
reasonable measures to maintain the confidentiality and security of data it processes on
behalf of the client and to protect such data from unauthorised access, disclosure, alteration,
or destruction in compliance with all associated laws and regulations.
7.3 Data Subject Rights:
In the event that a data subject exercises their rights under UK GDPR, We Film Blackpool
C.I.C will respond as required under all relevant associated regulations, the Client must
reasonably assist in fulfilling any such obligations including compliance with their own
requirements under UK GDPR and any associated laws and regulations.
8. Termination
8.1 Right to Terminate:
We Film Blackpool C.I.C and The Client may terminate this agreement by giving notice to
the other part if;
a. Any sum owing to that party by the other under any provisions of the Terms of
Service or the Service Agreement is not paid within 60 calendar days of the due
date of that payment, or;
b. The other party commits any other breach of the provisions of the Terms of
Service or the Service Agreement, and if the breach is capable of remedy, fails to
remedy it within 30 calendar days of being given notice of the breach and requiring
it to be remedied.
8.2 The rights to terminate this Agreement given herein shat not prejudice any other right or
remedy of either party in respect of the breach concerned or any other breach.
8.3 The rights to terminate this Agreement given herein shall not revoke or supersede any
statutory rights of We Film Blackpool C.I.C or The Client as provided within the
governing law of this agreement
9. Effects of Termination
9.1 Final Payments:
All due payments for services provided by We Film Blackpool C.I.C to The Client must be
settled within thirty (30) days and otherwise in accordance with the terms of section 3 of
these terms. Any prepayments or deposits will be reconciled in accordance with the terms of
section 3.4 of these terms.
9.2 Rights and Licensing:
Any rights or licences granted by We Film Blackpool C.I.C to The Client under section 4
of these terms, for services that remain unpaid and or terminated will be immediately
revoked upon termination.
9.3 Survival of Certain Clauses:
All obligations for confidentiality and data protection including those set out in section 6 and
7 of these terms shall survive termination.
Clauses relating to confidentiality, indemnity, limitations of liability, and governing law shall
survive termination.
10. Governing Law
10.1 Governing Country:
This Agreement is constructed and shall be governed in accordance with the laws of The
United Kingdom
11. Counterparts
11.1 Additional Agreements:
This Agreement may be executed in multiple counterparts, each of which shall be deemed
an original but all of which shall constitute one and the dame instrument. These counterparts
may include but are not limited to;
a. These Terms of Service as detailed in section 1.4 of this document
b. The associated Service Agreement as detailed in section 1.5 of this document
c. Data protection, information security, or any non disclosure agreements entered
into between We Film Blackpool C.I.C and The Client
12. Acceptance of this Agreement
12.1 The terms of This Agreement will be considered accepted becomes effective on the date it
has been signed by both We Film Blackpool C.I.C and the Client unless otherwise
agreed in writing.
